Terms of Service

1. Definitions

• App:  The Tech.us mobile application available for download from the Apple App Store and Google Play Store.
• User:  Any individual or entity who accesses or uses the App.
• Content:  Any text, graphics, images, audio, video, or other materials provided by Tech.us through the App.
• User Content:  Any content, including reviews, comments, or other materials, that you submit, upload, or otherwise provide through the App.
• Third-Party Services:  Any services, websites, or content provided by parties other than Tech.us that may be linked to or integrated with the App.

2. License Grant and Restrictions

Tech.us grants you a non-exclusive, non-transferable, revocable license to download, install, and use the App solely for your personal, non-commercial use, subject to these Terms. All rights not expressly granted are reserved by Tech.us.

You agree not to:

• Reverse engineer, decompile, or disassemble any portion of the App.
• Modify, adapt, or create derivative works based on the App.
• Use any data mining, robots, or similar data gathering or extraction methods on the App.
• Circumvent, disable, or otherwise interfere with any security-related features of the App.

3. Account Registration and Security

Some features of the App may require you to register an account. You agree to:

• Provide accurate, current, and complete information during the registration process.
• Maintain and promptly update your account information.
• Keep your password and other login credentials confidential.
• Accept full responsibility for all activities that occur under your account.

Tech.us reserves the right to suspend or terminate your account at its sole discretion if any information provided is inaccurate or if you violate these Terms.

4. In-App Purchases and Payments

If you make in-app purchases, all transactions will be processed by the respective payment platforms (Apple or Google). All purchases are final and non-refundable, except as required by applicable law. Tech.us is not responsible for billing errors or disputes arising from transactions processed by third-party platforms.

5. Use of the App

You agree to use the App only for lawful purposes and in compliance with all applicable laws. You further agree not to:

• Interfere with or disrupt the App or its servers.
• Use the App in any manner that could disable, overburden, damage, or impair the proper functioning of the App.
• Engage in any activity that constitutes a breach of security or unauthorized access.

Tech.us may monitor your use of the App to ensure compliance with these Terms and may take any action Tech.us deems necessary, including suspending or terminating your access without notice.

6. User Content

By submitting any User Content, you grant Tech.us a worldwide, non-exclusive, royalty-free, perpetual, irrevocable license to use, reproduce, modify, publish, translate, distribute, and display such content in any media now known or later developed. You represent and warrant that you have all rights necessary to grant this license and that your content does not violate or infringe upon any rights of any third party. Tech.us is not responsible for any User Content and may remove any content, at its sole discretion, that violates these Terms or is otherwise objectionable.

7. Intellectual Property

All intellectual property rights in the App, including but not limited to software, designs, graphics, and Content, are owned by Tech.us or its licensors. You agree not to copy, modify, distribute, sell, lease, or create derivative works based on the App or any of its Content without the express prior written consent of Tech.us.

8. Third-Party Services and Links

The App may contain links to third-party websites or services and may integrate third-party services. Tech.us is not responsible for the content, privacy policies, or practices of these third parties. Your interactions with third-party services are governed solely by your use of such services and are not subject to these Terms.

9. Disclaimers and No Warranty

THE APP IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TECH.US DISCLAIMS ALL WARRANTIES, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. TECH.US DOES NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. YOUR USE OF THE APP IS AT YOUR SOLE RISK.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TECH.US, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE APP, EVEN IF TECH.US HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL THE AGGREGATE LIABILITY OF TECH.US FOR ALL CLAIMS EXCEED THE AMOUNT PAID, IF ANY, BY YOU FOR ACCESSING THE APP.

11. Indemnification

You agree to indemnify, defend, and hold harmless Tech.us and its affiliates, officers, directors, employees, and agents from any claims, damages, liabilities, costs, or expenses (including reasonable attorneys’ fees) arising from or related to:

• Your use of the App.
• Your violation of these Terms.
• Any infringement of any intellectual property or other right of any person or entity by your User Content or other actions.

This indemnification obligation survives the termination of these Terms.

12. Termination

Tech.us reserves the right to suspend or terminate your access to the App at any time and for any reason without notice. Upon termination:

• Your right to use the App will immediately cease.
• You must delete all copies of the App and any associated materials in your possession.

Notwithstanding any termination, the provisions regarding Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Governing Law shall survive.

13. Dispute Resolution and Arbitration

Any dispute, claim, or controversy arising out of or in connection with these Terms or your use of the App shall be resolved as follows:

     a. Negotiation and Mediation

You agree to first contact Tech.us and attempt to resolve any dispute informally. If the dispute is not resolved within 30 days, the parties agree to attempt to resolve the dispute through mediation administered by a mutually agreed-upon mediator.

     b. Binding Arbitration

If mediation fails, you agree that any dispute shall be finally resolved by binding arbitration administered by the American Arbitration Association in Santa Clara County, California, in accordance with its Commercial Arbitration Rules.

YOU AGREE TO WAIVE ANY RIGHT TO A JURY TRIAL, AND YOU AGREE THAT YOU MAY NOT BRING OR PARTICIPATE IN ANY CLASS ACTION OR REPRESENTATIVE ACTION AGAINST TECH.US.

     c. Equitable Relief

Notwithstanding the foregoing, Tech.us retains the right to seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.

14. Changes to These Terms

Tech.us reserves the right, at its sole discretion, to modify or update these Terms at any time without notice. The current version of the Terms will be posted on the App, and your continued use of the App after any such changes constitutes your acceptance of the new Terms. It is your responsibility to review these Terms periodically for any updates.

15. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. You agree that any legal action or proceeding arising out of or relating to these Terms or the App shall be brought exclusively in the state or federal courts located in Santa Clara County, California, and you consent to personal jurisdiction in such courts.

16. Entire Agreement; Severability; Waiver

• Entire Agreement:  These Terms constitute the entire agreement between you and Tech.us regarding your use of the App and supersede all prior or contemporaneous communications and proposals, whether electronic, oral, or written.
• Severability:  If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining Terms will remain in full force and effect.
• Waiver:  No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and Tech.us’s failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
